Startup financing risks: Seed or Angel round completed, but incomplete or non-compliant board minutes and special resolutions — risk of failing next-round VC due diligence?
Securing seed or angel financing is a milestone. But many founders are product or tech-focused and lack corporate governance systems. As the company grows fast after funding, crucial board minutes and special resolutions are often missing or procedurally defective.
As a chartered company secretary with 10+ years in Hong Kong company law, I warn founders: past compliance gaps can be fatal during later VC rounds.
Risk 1: Missing board minutes — cannot evidence legitimacy of major decisions Early decisions often occur informally (WhatsApp, coffee shop). Such records are legally weak. Under the Companies Ordinance, board minutes must be properly kept in Statutory Books. VCs’ legal teams will scrutinize these during DD. If material past decisions (executive appointments, compensation, asset purchases, IP licensing) lack signed, compliant minutes, VCs will doubt internal controls and may heavily reduce valuation or withdraw.
Risk 2: Special resolutions for share changes not properly filed Seed rounds commonly involve allotments, creation of preferred shares, or amendments to Articles — which often require shareholder special resolutions and timely filing with the Companies Registry. Many founders rely on cheap secretarial services or DIY templates that are incorrectly formatted, not passed at the right quorum, or not filed.
Expert view: Discrepancies between Statutory Books and Companies Registry records reveal procedural non-compliance. Remediation is costly and can delay or derail fundraising.
Risk 3: ESOP lacks compliant authorization — options may be unenforceable Early verbal promises of option grants are risky. ESOPs require board and shareholder authorizations, specific resolutions, Articles amendments, and an option register. If missing, VCs will view option pools as invalid, causing labor disputes and reducing investor confidence.
Strategy: build a perfect DD-ready governance file Do not patch documents at DD time. Smart founders use expert-first, precision compliance:
- Adopt fractional Company Secretary services: engage a chartered company secretary (15+ years) to regularly structure board processes and draft standard minutes.
- Translate governance into compliance language for banks and VC counsel.
- Run compliance health checks 3–6 months before the next funding round to remediate gaps.
